**Terms and Conditions for MS Network Services**

These Terms and Conditions (“Terms”) govern the provision of services by MS Network (“MS Network,” “we,” “us,” or “our”) to you (“you” or “customer”) for the following services: Computer Repair and Maintenance, Emails, Printers, Antiviruses, Artificial Intelligence, Cloud Computing, and Local Area Network. By engaging with MS Network for any of these services, you agree to be bound by these Terms.

**1. Scope of Services:**
MS Network will provide services related to Computer Repair and Maintenance, Emails, Printers, Antiviruses, Artificial Intelligence, Cloud Computing, and Local Area Network, as agreed upon between MS Network and the customer.

**2. Service Level Agreement (SLA):**
MS Network will adhere to the agreed-upon SLAs for each service, including response times, resolution times, and uptime guarantees, where applicable.

**3. Customer Obligations:**
a. You agree to provide MS Network with all necessary access to systems, networks, and information required to perform the services.
b. You are responsible for maintaining the confidentiality and security of your passwords, access credentials, and other sensitive information.
c. You agree to promptly notify MS Network of any issues or concerns regarding the services provided.

**4. Payment Terms:**
a. Payment terms will be as agreed upon in the service agreement or invoice.
b. Payment is due upon receipt of invoice unless otherwise specified in writing by MS Network.
c. Late payments may be subject to interest charges or suspension of services at MS Network’s discretion.

**5. Intellectual Property:**
a. MS Network retains all rights, title, and interest in any intellectual property developed or used in connection with the services.
b. You may not use MS Network’s intellectual property without prior written consent.

**6. Limitation of Liability:**
a. MS Network will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the services provided.
b. MS Network’s total liability under these Terms will not exceed the total fees paid by you for the services during the six (6) months preceding the event giving rise to the liability.

**7. Confidentiality:**
a. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services.
b. Confidential information may only be disclosed to third parties with the express written consent of the disclosing party.

**8. Termination:**
a. Either party may terminate the services upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.
b. MS Network may suspend or terminate services immediately if you fail to pay invoices when due or if MS Network determines that continued provision of services poses a security or operational risk.

**9. Governing Law and Dispute Resolution:**
a. These Terms will be governed by and construed in accordance with the laws of [jurisdiction].
b. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of [jurisdiction].

**10. Miscellaneous:**
a. These Terms constitute the entire agreement between the parties and supersede all prior and contemporaneous agreements, proposals, or representations, oral or written.
b. These Terms may only be amended in writing and signed by both parties.
